OUTLINE OF PROCEDURES FOR AIRCRAFT ACQUISITION
1) Official Offer
including tech specs provided to Buyer.
2) Buyer sends mandate & Letter
of Intent (LOI)
3) Non Circumvent entered
into by interested parties. (NCNDA) Fee Protection Agreement issued to Buyers
Agent. (If any)
4) Buyer sends ICPO & verifiable Proof of Funds (POF) to
be issued by the buyers to the Sellers. Escrow Agent agreed upon between Buyer
and Seller. IATS Oklahoma City, USA is the preferred Escrow
Agent.
5) Buyer makes a 10% deposit, provides verifiable POF, from an International Reputed Bank, and agrees to Disbursement of Funds to the Escrow Agent.
5a) Seller deposits the serial numbers of the aircraft with the Escrow Agent.
5b) Escrow Agent or Seller verifies the funds directly with the Bank.
5c) Escrow Agent & Seller confirms that the LOI, POF and 10% deposit is with Escrow Agent.
5d) Escrow Agent releases the serial numbers to the Buyers, and arranges for inspection of the aircraft. At this time, the deposit becomes Non Refundable, unless otherwise stated in the Sellers LOI, due to defects found in the aircraft, or documentation of the aircraft etc.
Agent for validation.
5) Seller provides serial numbers and technical data to Escrow Agent for validation.
6) Escrow Agent Exchanges information between Buyer & Seller and Deposit becomes
Non-refundable. (Unless as otherwise stated in the LOI)
7) Aircraft Inspection is Scheduled within 10 days.
8) Within 2 Days, Technical Acceptance & Aircraft Inspection Reports Provided to Seller.

Please find the mini specs and engine LLP sheets attached. Please also refer to the attached anticipated utilization for Msn 24237 (D-AGEG) and Msn 24238 (D-AGEE), the two end of October delivery aircraft.
We may well sell all 5 a/c as a package deal as it seems to be the preferred option proposed by a few tear down companies showing interest in the 5 a/c.
We are seeking a package offer of $10.500 mil on the basis that the aircraft will be delivered as-is (assuming no c-checks on MSN 24221, 25015, 24237 and 24238) and will be subject to part out following delivery:
We could agree to document the sale as a package but with individual aircraft pricing and a requirement for the buyer to confirm acceptance of the aircraft record documentation status for each aircraft within a set time frame following execution of an agreement.
Our intention here is to avoid a delay in the event that there is a problem with documentation that might lead to any protracted negotiation or a delay in the delivery of any of the aircraft. In principle the non-delivery of one aircraft should not affect the others.
We would appreciate your bid/ offer by Monday. Could you please indicate your individual pricing per aircraft in your bid /offer letter. If you can achieve the pricing above we could present your offer to the owner on the basis that the aircraft will be delivered as-is and would expect to hear back from them pretty soon / next week.
It is worth keeping in mind that the first aircraft (MSN 23921) should be ready for delivery this month with the second (MSN 24221) following soon after in early April. The third aircraft, MSN 25015, will be in operation until the end of March and MSNs 24237 & 24238 remain in service until the end of October.

They cannot provide the same Take off EGT Margin for ESN 725823 & 721526 because that aircraft cannot send the required parameters. For these engines ESN 725823 & 721526, we can only provide the cruise trends which give also an indication for the EGT Margin (attached).
